Welcome to Mills Firm PPLC. Bringing to bear over 30 years of legal experience in the real estate, finance, and insurance industries, we accept clients on a case-by-case basis. After clerking for one of the most respected federal judges in New York City, Samuel Mills received his initial training at one of a handful of the most prestigious Wall Street firms, before moving to Texas to Join the Dallas office of another major international firm, where he practices for 5 years.
Samuel has spent the past 27 years representing Texas businesses and entrepreneurs. During that time, he has served variously as, among other roles, general counsel and stakeholder in one of the largest managing general life insurance agencies in the US, general counsel to a national title insurance company, outside counsel to small businesses and start-ups, and an individual investor in various businesses and real estate ventures.

REPRESENTATIVE ENGAGEMENTS
● Represented one of the largest life insurance wholesale general agencies in the country in the restructuring of a number of multimillion-dollar private equity transactions with TransamericaOccidental Life and AEGON USA.
● Recent transactions have included a number of multi-million-dollar financings for the development of large multifamily projects as well as representation of Tenet Healthcare in the negotiation of a number of medical office and hospital ground lease transactions.
● Represented the Summit Alliance Companies in various joint venture, financing, and private equity transactions for insurance and employee benefit brokerage companies, as well as various transactions involving a national, online employee benefit enrollment and administration platform.
● Represented the President and Chief Operating Officer of the world's leading manufacturer of advanced portable aircraft weight and balance equipment and heavy-duty portable truck scales in the sale back to the company of a 35% vested share of a related entity.
● Represented the co-founder and 50% shareholder in the formation and structuring of a company that established and operated a national chain of women's accessory superstores.
● Represented the purchaser of NBA franchise and various athletes and entertainers.
● Represented minority-owned business enterprises "MBEs" in the Dallas-Fort Worth International Airport and Denver Initernational Airport.
● Represented a number of national real estate and student housing developers in the acquisition, financing, and disposition of over $1,000,000,000 of real estate projects financed with tax-exempt bonds. Many of these deals involved the structuring of ventures to operate groups of properties as well as the use of credit enhancement, mezzanine financing, securitizations, and interest rate and total-rate-of-return swaps.
● Represented European institutional investors in the restructuring of over $300,000,000 in U.S. real estate investments consisting of office buildings, apartment complexes, an extended-stay suite hotel chain, and various high visibility development sites located in the Southwestern United States.
● Represented private equity fund in its acquisition of approximately $20 million in distressed debt from a syndicate of New York banks, and the subsequent foreclosure on the oil and gas assets securing the debt.
● Represented Dallas-based investment banking group in the acquisition and financing of multifamily apartment complexes as well as the structuring of investment entities to own beneficial interests in real estate projects.
● Represented a Dallas-based real estate entrepreneur in the formation and structuring of a joint venture with a major Chicago-based real estate investment firm, formed for the purpose of packaging real estate properties and interests throughout the world for acquisition, financing, syndication, and disposition.
● Represented Dallas-based real estate developer in the sale to a 501(c)(3) organization of four ground leases and related improvements involving student dormitories the financing for which was provided with the issuance of approximately $55 million in tax-exempt bonds.
● Represented national real estate investment group in the defeasance of approximately $7.5 million in tax-exempt bonds in connection with the disposition of a multifamily residential project financed with the bonds.
● Represented landlords and tenants in negotiating and drafting commercial office, medical office, and retail leases.
